Welcome to Tipazo. These Terms of Service ("Terms") constitute a legally binding agreement between you and Tipazo ("we," "us," or "our") and govern your access to and use of our cashless tipping platform and services. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

"User," "you," and "your" refer to the individual or entity accessing or using our Services
"Services" refers to the tipping platform provided by Tipazo accessible via https://tipazo.tips and https://usetipazo.com
"Content" refers to any text, images, videos, audio, or other material that appears on or through our Services
"Financial Information" refers to any information related to your financial accounts, transactions, or status
"Guest" refers to individuals leaving tips through our platform
"Worker" refers to hospitality workers receiving tips through our platform
"Business" refers to establishments using our platform for tip management
"Transaction" refers to any tip payment processed through our platform

Secure payment processing through Stripe
Direct payouts to verified workers
Management oversight and approval workflows
Transaction reporting and analytics

4. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting a prominent notice on our website or by sending you an email. Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.

5. Eligibility and Account Registration

Eligibility Requirements

To use our Services, you must: - Be at least 18 years old or the age of legal majority in your jurisdiction, whichever is greater - For businesses: be legally registered and operating - For workers: be employed by participating establishments - Provide accurate and complete information during registration

Account Security

You are responsible for: - Providing accurate, current, and complete information - Maintaining the confidentiality of your password and account - All activities that occur under your account - Notifying us immediately of any unauthorized access

We may suspend or terminate your account at our discretion if we believe you have violated these Terms, if we believe your account may pose a risk to our Services or other users, or if we suspect fraudulent or illegal activity.

6. Identity Verification and KYC

We may be required by law to verify your identity and collect certain personal information before providing certain Services. This may include your full name, address, date of birth, social security number or tax identification number, government-issued identification, and other information necessary to verify your identity.

Obtaining consumer reports or background checks
Contacting financial institutions associated with your payments
Verifying information against third-party databases
Requiring you to submit additional documentation

If you do not provide this information or we cannot verify your identity, we may limit or deny your access to some or all of our Services.

7. Financial Services Disclaimer

Our services provide payment processing and tip management tools, but these are for transactional purposes only and do not constitute financial advice, recommendations, or counseling. Tipazo is not a financial planner, broker, or tax advisor.

You are responsible for understanding the tax implications of tips received through our platform and for proper tax reporting. Before making any financial decisions, you should consult with a qualified financial advisor or tax professional.

8. For Guests Leaving Tips

Tip Submission

- Tips are processed through secure payment systems via Stripe - All transactions are final once submitted - You will receive email confirmation of your tip - Dispute resolution is handled through our support team

Payment Terms

- We accept major credit cards and digital wallets - Transaction fees may apply as displayed during checkout - Chargebacks and disputes follow standard payment processor policies - You authorize Tipazo to initiate debits and credits as instructed by you

9. For Hospitality Workers

Worker Verification

- All workers must complete identity verification - Employment verification is required through your manager - Only verified workers can claim and receive tips - False information may result in account termination

Tip Claims and Payouts

- Tips must be claimed within specified time periods - Manager approval may be required before payout - Payouts are processed through Stripe Connect - Workers are responsible for tax reporting on tip income - You must maintain sufficient bank account information for payouts

10. For Business Managers

Account Management

- Managers oversee worker verification and tip approvals - You are responsible for accurate employee information - Regular audit of tip activity is recommended - Misuse of management privileges will result in account suspension

Compliance

- Ensure compliance with local tipping and wage laws - Proper tax reporting and record keeping is your responsibility - Workers must consent to platform participation - You represent that you have authority to bind your organization

11. Platform Fees and Pricing

Fee Structure

- Platform fees are clearly disclosed before each transaction - Fees may vary based on transaction amount and payment method - We reserve the right to modify fees with 14 days notice - No hidden fees - all costs are transparent

Fees are non-refundable unless otherwise specified or required by law. If you fail to pay any fees when due, we may suspend or terminate your access to the Services and take legal action to collect such fees, including reasonable attorneys' fees and collection costs.

12. Prohibited Uses

Violate any applicable law, regulation, or sanctions program
Submit fraudulent or unauthorized payments
Engage in money laundering, terrorist financing, or other financial crimes
Provide false, inaccurate, or misleading information
Circumvent our security measures or verification processes
Harass, abuse, or harm other users
Use automated systems without permission
Infringe the rights of others, including intellectual property rights
Access or attempt to access other users' accounts or financial information
Interfere with the proper functioning of our Services

13. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, which is incorporated by reference into these Terms. We implement reasonable security measures designed to protect your information. However, no security system is impenetrable, and we cannot guarantee the security of our systems or your information.

You consent to the collection, use, and disclosure of your information as described in our Privacy Policy, including data processing necessary for identity verification, fraud prevention, and regulatory compliance.

14. Intellectual Property

Our Rights

- Tipazo owns all platform intellectual property - Our trademarks and branding are protected - You may not copy or reproduce our platform without permission - All content provided by Tipazo is protected by international copyright, trademark, and other intellectual property laws

Your Content

- You retain rights to content you submit - You grant us license to use your content for service provision - Do not submit copyrighted material without permission

15. Third-Party Services and Regulatory Compliance

Our Services integrate with third-party providers including Stripe for payment processing, Clerk for authentication, Railway for infrastructure, and Netlify for hosting. Your use of these services may be subject to their additional terms and conditions.

Tipazo is committed to complying with all applicable laws and regulations, including financial regulations, data protection laws, consumer protection laws, and anti-money laundering requirements. We may be required to report certain transactions to regulatory authorities, and you consent to such reporting if required by law.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We strive for 99.9% uptime but cannot guarantee uninterrupted service. Maintenance and updates may cause temporary service interruptions. We are not liable for damages from service unavailability or issues caused by third-party providers.

17. Limitation of Liability

To the maximum extent permitted by applicable law, our liability is limited to the amount of fees paid in the preceding 12 months. In no event shall Tipazo be liable for any special, incidental, indirect, or consequential damages whatsoever, including damages from service unavailability, payment processor issues, or business interruption.

18. Indemnification

You agree to indemnify, defend, and hold harmless Tipazo, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms, your use of the Services, or your violation of any rights of another.

19. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting our support team at legal@usetipazo.com. We will attempt to resolve the dispute within 30 days.

Arbitration Agreement

You and we agree to resolve any disputes through binding arbitration instead of court proceedings. You acknowledge that you are waiving the right to sue in court, have a jury trial, or participate in a class action.

Exceptions to Arbitration: Small claims court cases, intellectual property disputes, theft or unauthorized use claims, and requests for injunctive relief.

Class Action Waiver: You and we agree that each may bring claims only in individual capacity, not as part of a class or representative proceeding.

20. Termination

Your Rights

- You may terminate your account at any time - Upon termination, outstanding tips will be processed according to our policies and may be forfeited - Some provisions survive termination (payment obligations, intellectual property)

Our Rights

- We may suspend or terminate accounts for Terms violations - We may discontinue service with reasonable notice - Refunds for prepaid services are at our discretion

Upon termination, your right to use the Services will immediately cease, and we may delete information associated with your account.

21. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions. Our failure to enforce any right or provision will not be considered a waiver of those rights.

Significant changes will be communicated by email or platform notification
Continued use after changes constitutes acceptance
We will maintain prior versions for your reference

22. Assignment and Entire Agreement

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Tipazo regarding use of our services.

24. Regulatory Compliance Notices

California Consumer Privacy Act (CCPA)

California residents have rights under the CCPA including the right to know what personal information is collected, delete personal information, and opt-out of sale (we do not sell personal information). Contact privacy@usetipazo.com to exercise these rights.

Children's Privacy (COPPA)

Our Services are not directed to children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided information without parental consent, contact us immediately.
